1. About These Terms

These Terms of Service ("Terms") govern your access to and use of the Wayro website, applications and related software services (collectively, the "Service").

The Service is operated by WAYRO LTD, a private limited company registered in England and Wales under company number 17470959, with its registered office at 128 City Road, London, United Kingdom, EC1V 2NX ("Wayro", "we", "us" or "our").

By accessing or using the Service, you agree to these Terms. If you do not agree to these Terms, please do not use the Service.

These Terms apply to both free and paid use of Wayro.

2. The Wayro Service

Wayro is an AI-powered travel-planning software platform that helps users turn intercity routes into personalized trips.

Wayro helps users discover interesting places and points of interest along a route and organize travel plans and itineraries.

Wayro is a software platform only.

WAYRO LTD IS NOT A TRAVEL AGENCY, TOUR OPERATOR, TRANSPORTATION PROVIDER, HOTEL, AIRLINE, TICKET SELLER, CAR-RENTAL COMPANY, EXCURSION PROVIDER OR RESELLER OF TRAVEL SERVICES.

Wayro does not itself provide, operate, book or sell flights, accommodation, transportation, vehicle rentals, tours, excursions, tickets or other third-party travel services.

Information displayed through Wayro may originate from third-party sources and may change without notice.

3. Accounts

Some features of the Service may require an account.

You agree to provide accurate information when creating an account and to keep your account credentials secure.

You are responsible for activity carried out through your account, except where applicable law provides otherwise.

You must notify us promptly if you believe that your account has been accessed without authorization.

4. Wayro Premium

Wayro may offer a paid subscription called Wayro Premium.

Wayro Premium is a recurring software subscription priced at US$9.99 per month, unless a different price is clearly displayed for a particular offer.

At launch, Wayro Premium includes:

• an expanded set of filters for discovering places and attractions;
• reminders relating to planned trips;
• the ability to organize saved routes into collections and manage those collections.

Premium provides access to additional software features within Wayro.

Premium does not include hotels, flights, transportation, tickets, tours, excursions, car rentals or any other third-party travel service.

We may improve, modify or update the features of the Service from time to time. Any mandatory rights you have under applicable law remain unaffected.

5. Subscription, Billing and Automatic Renewal

Wayro Premium is billed on a recurring monthly basis.

Unless cancelled, your subscription automatically renews at the end of each monthly billing period.

The subscription price is US$9.99 per month.

Any applicable taxes are calculated and handled through the applicable checkout process and may be added to the displayed base price where required.

Purchases of Wayro Premium are processed through MoR, which acts as the Merchant of Record for the transaction.

MoR handles the payment transaction, applicable sales taxes, order confirmation and related payment processing.

6. Cancellation

You may cancel your Wayro Premium subscription through the subscription-management options provided by MoR.

Cancellation stops future automatic renewals.

Unless applicable law requires otherwise, cancellation does not automatically refund a billing period that has already started.

Unless applicable law requires otherwise, you will continue to have access to Premium features until the end of the period that you have already paid for.

7. Consumer Rights

Nothing in these Terms excludes, restricts or limits any rights or remedies that cannot lawfully be excluded or limited under applicable consumer law.

Depending on where you live and how the Service is supplied, you may have statutory rights relating to cancellation, refunds, digital services, subscriptions and conformity.

If applicable law gives you a statutory right to cancel or withdraw from a subscription, that right applies regardless of anything in these Terms that would otherwise limit it.

Where applicable law requires specific consent or acknowledgement for a digital service that begins immediately, the relevant checkout process will provide the applicable mechanism.

8. Acceptable Use

You may use Wayro only for lawful purposes and in accordance with these Terms.

You must not:

• use the Service for unlawful activity;
• interfere with or attempt to compromise the security or operation of the Service;
• gain unauthorized access to another person's account;
• introduce malicious code or other harmful material;
• reverse engineer, decompile or attempt to obtain the source code of the Service except where such restriction is prohibited by applicable law;
• systematically scrape, harvest or extract data from the Service in a manner that is not expressly permitted;
• use the Service to infringe the rights of others;
• resell, sublicense or commercially exploit the Service or your access to it unless we expressly authorize it.

We may restrict or suspend access where reasonably necessary to protect the Service, its users, Wayro or third parties, including in cases of fraud, misuse, security threats or unlawful activity.

9. Intellectual Property

The Service, including Wayro's proprietary software, interfaces, designs, branding and other materials created or owned by Wayro, is protected by applicable intellectual property laws.

Except for rights expressly granted to you under these Terms, no ownership rights are transferred to you.

Third-party software, maps, data, content, images and other materials remain subject to the rights and licences of their respective owners.

10. AI-Generated and Third-Party Information

Some information, recommendations and itinerary content provided by Wayro may be generated or assisted by artificial intelligence and/or obtained from third-party sources.

Such information may contain inaccuracies, omissions or outdated information.

Wayro does not guarantee that information such as opening hours, road conditions, availability, prices, accessibility, travel times, local conditions or other third-party information is complete or current.

You are responsible for verifying important information before relying on it, particularly information affecting safety, travel arrangements, opening hours, access restrictions, weather, road conditions or other time-sensitive matters.

Wayro is a planning and discovery tool and does not replace official information fromlegal relevant authorities or service providers.

11. Third-Party Links and Services

Wayro may contain links to third-party websites, services or resources.

Third-party websites and services are not controlled by Wayro. Their availability, accuracy, policies and practices are the responsibility of the relevant third party.

A link or reference does not constitute an endorsement, partnership or guarantee by Wayro.

12. Service Availability

We aim to keep Wayro available and functioning reliably, but we do not guarantee uninterrupted or error-free operation.

The Service may occasionally be unavailable because of maintenance, technical problems, security measures, third-party outages or circumstances outside our reasonable control.

13. Disclaimer

To the maximum extent permitted by applicable law, the Service is provided on an "AS IS" and "AS AVAILABLE" basis.

We do not guarantee that the Service will always be uninterrupted, error-free, complete, accurate or suitable for every particular travel plan.

Nothing in these Terms excludes or limits liability or rights that cannot legally be excluded or limited.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Wayro will not be liable for indirect, incidental, special or consequential losses arising from your use of the Service.

This may include losses arising from reliance on third-party information, itinerary inaccuracies, changes in opening hours, road conditions, delays, cancellations, third-party service failures or changes to external websites and services.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

15. Changes to the Service

We may modify, suspend or discontinue particular features of the Service.

Where we make material changes to a paid service that materially reduce its functionality, we will provide any notice or remedy required by applicable law.

16. Changes to These Terms

We may update these Terms from time to time.

When we make material changes, we will update the "Last updated" date and, where required by law, provide additional notice.

18. Governing Law

These Terms are governed by the laws of England and Wales, except to the extent that mandatory consumer-protection laws in your country of residence provide otherwise.

Nothing in this section prevents a consumer from relying on mandatory rights or bringing proceedings in a court where applicable law permits them to do so.
